Chapter 6 - The Fund

Daniel demanded the documents.
Claire resisted for all of ten seconds, then surrendered the white folder she had intended him to sign after the toast.
He flipped through the pages standing right there in the middle of the ballroom, surrounded by tuxedos and silk and the smell of spilled orange juice.
The merger language was polished, technical, expensive.
The truth beneath it was simple.
The employee reserve—worth more than two hundred million dollars—would be reclassified, absorbed, and dissolved into a new holding structure after the wedding. Workers who had spent decades funding it through withheld performance bonuses would get nothing except a note saying the program had been “restructured.”
Daniel looked up slowly.
“This is theft.”
Claire’s face tightened. “It is legal.”
Maya answered before he could. “That’s always the defense.”
A soft murmur ran through the guests.
Legal.
Not fair. Not honest. Not deserved. Just legal.
Daniel kept reading. “Why would you need me sedated?”
“You’re dramatic when you’re emotional,” Claire said.
He almost smiled from the insult. “So you drugged me for my own convenience?”
“For the company’s survival.”
Maya stepped closer. “No. For control.”
Daniel turned another page.
At the bottom of a buried attachment sat a single paragraph that changed everything. If the proxy was obtained through impairment, deception, or coercion, the reserve would not dissolve.
It would convert.
Into voting equity.
Daniel read the line twice.
Then looked at Maya.
“Who wrote this clause?”
Maya’s eyes filled again.
“My mother.”
